Terms of Service

1. Acceptance of Terms

By accessing or using Dispatch with AI ("the Service"), operated by Dispatch with AI ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. If you are using the Service on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.

2. Description of Service

Dispatch with AI is a cloud-based transportation management system (TMS) with AI-powered automation agents for dispatch, billing, and compliance workflows. The Service includes the web application at app.dispatchwithai.com, the driver mobile application, AI agent processing, and related support services.

3. Accounts

• You must provide accurate, complete, and current information when creating an account.
• You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
• You must notify us immediately at hello@dispatchwithai.com if you suspect unauthorized access to your account.
• You may not share account credentials or allow multiple individuals to use a single account unless your plan permits it.

4. Subscription & Billing

4.1 Plans & Pricing

The Service is offered on a subscription basis with various plans as described on our Pricing page. Prices are subject to change with 30 days' notice.

4.2 Free Trial

New accounts receive a 14-day free trial. No credit card is required to start a trial. At the end of the trial, you must subscribe to a paid plan to continue using the Service.

4.3 Payment

Subscriptions are billed monthly or annually in advance. All fees are in US Dollars and non-refundable except as described in Section 4.5. Payment is processed securely via our third-party payment provider.

4.4 Cancellation

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period. There are no cancellation fees or long-term contracts.

4.5 Money-Back Guarantee

We offer a 60-day money-back guarantee. If you are not satisfied with the Service within 60 days of your first paid subscription, contact us for a full refund.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
• Attempt to gain unauthorized access to the Service, other accounts, or our systems
• Reverse-engineer, decompile, or disassemble any part of the Service
• Use the Service to transmit malware, spam, or harmful content
• Resell, sublicense, or redistribute the Service without our written consent
• Interfere with the Service's performance or other users' access
• Scrape, mine, or automatically extract data from the Service

6. Your Data

6.1 Ownership

You retain all ownership rights to the data you upload, enter, or process through the Service ("Your Data"). We do not claim any ownership of Your Data.

6.2 License to Us

You grant us a limited, non-exclusive license to use, process, and store Your Data solely to provide the Service to you, including AI agent processing, backups, and support.

6.3 Data Export

You may export Your Data at any time through the Service's built-in export features or by contacting support. Upon account cancellation, we will provide a reasonable period to export Your Data before deletion.

6.4 AI Processing

By using our AI agent features, you consent to the automated processing of Your Data for the purpose of load extraction, billing automation, and compliance monitoring. All AI-processed actions are presented for your review in the AI Inbox before being finalized. We do not use Your Data to train general-purpose AI models.

7. Intellectual Property

The Service, including its software, design, text, graphics, and branding, is owned by Dispatch with AI and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or branding. You may not copy, modify, or create derivative works of any part of the Service.

8. Third-Party Integrations

The Service integrates with third-party services (QuickBooks, Samsara, Motive, factoring companies, etc.). Your use of these integrations is subject to those services' own terms and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services.

9. Service Availability

We strive to maintain 99.9% uptime but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or circumstances beyond our control. We will provide reasonable notice for scheduled maintenance when possible.

10. Limitation of Liability

To the maximum extent permitted by law, Dispatch with AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of or inability to use the Service. Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be error-free, that AI agent outputs will be 100% accurate, or that the Service will meet all of your requirements.

12. Indemnification

You agree to indemnify and hold harmless Dispatch with AI, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

13. Termination

We may suspend or terminate your access to the Service if you violate these Terms, fail to pay subscription fees, or engage in activity that harms the Service or other users. Upon termination, your right to use the Service ceases immediately. Sections relating to data ownership, limitation of liability, and indemnification survive termination.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or a notice within the Service at least 30 days before they take effect. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

15. Governing Law

These Terms are governed by the laws of the State of Washington, United States, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in King County, Washington.
